Legal Counsel

We are looking for a Legal Counsel to provide efficient and practical legal support for the Group’s operations in Poland and internationally, ensuring effective risk management, compliance, and smooth execution of corporate, commercial, and transactional matters. The role supports day-to-day legal activities, corporate governance, and cross-border projects, while advising on regulatory and operational issues.

Key Responsibilities: 

  • Provide legal support for the Company’s day-to-day operations, primarily in Poland and, where relevant, in other jurisdictions.
  • Draft, review, negotiate, and coordinate commercial, corporate, and other business-related documents, including supply, cooperation, agency, licensing, confidentiality, and other operational agreements.
  • Support corporate governance and entity maintenance, including corporate resolutions, powers of attorney, filings, corporate records, and coordination with local counsel, notaries, and registries.
  • Coordinate notarial, registration, apostille, certification, permit, and other document formalities required for the Company’s activities.
  • Liaise with public authorities, notaries, banks, counterparties, and external legal advisers, including in relation to account opening, compliance requests, and administrative matters.
  • Assist with M&A, legal due diligence, corporate restructurings, and transaction execution involving Polish entities and cross-border matters.
  • Support regulatory and compliance matters relevant to the Company’s activities, including export control, sanctions, and defence-sector requirements.
  • Advise on employment, contractor, intellectual property, and other general operational legal matters, primarily under Polish law and, where relevant, other applicable laws.
  • Conduct legal research, prepare internal memoranda, monitor legal developments, and handle other ongoing legal and administrative tasks as required.

Required Skills and Experience: 

  • At least 4 years of relevant legal experience, preferably with cross-border or international elements.
  • Strong drafting and negotiation experience in commercial contracts.
  • Practical experience supporting corporate, regulatory, and day-to-day operational legal matters.
  • Experience liaising with public authorities, notaries, banks, and external advisers.
  • Good working knowledge of Polish and English, both written and spoken.
  • Ability to work in a fast-paced environment, manage multiple tasks, and respond effectively under pressure.

Preferred: 

  • Experience with Polish corporate maintenance, filings, and transaction support.
  • Experience with permits, certifications, account opening, and similar cross-border operational matters.
  • Exposure to M&A, export control, sanctions, or defence-sector regulatory work.
  • Knowledge of Czech or another foreign language in addition to English.
